These Terms & Conditions ("Terms") govern your use of UrbanForge AI ("the Platform"), operated by 5Pyas Developer ("we," "us," "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Acceptance of Terms
By registering an email address, obtaining an API key, or accessing any part of the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years old to use the Platform.
2. Description of Service
UrbanForge AI is an AI-powered urban planning analysis platform that provides analytical reports, recommendations, and data insights related to urban development, geospatial analysis, environmental assessment, mobility planning, budget modeling, and risk evaluation.
The Platform is provided as a software-as-a-service (SaaS) product accessible via API and web interface.
3. Important Disclaimer — AI Outputs Are Not Professional Advice
AI-generated reports and analyses are for informational and research purposes only. They do not constitute legal advice, financial advice, engineering advice, architectural advice, environmental advice, or any other form of licensed professional advice. You must not rely on any output from the Platform as a substitute for qualified professional guidance.
We expressly disclaim any liability for decisions made based on AI-generated content. Before making any urban planning, investment, construction, policy, or regulatory decision, consult a licensed professional (urban planner, attorney, financial advisor, engineer, environmental consultant, etc.) with appropriate expertise and knowledge of your specific situation.
4. Account Registration and API Keys
- You must provide a valid email address to register
- You are responsible for keeping your API key confidential
- You must not share your API key with unauthorized parties or use it in public repositories
- You are responsible for all usage and charges associated with your API key
- If you believe your key has been compromised, contact us immediately at contact@5pyas.com
- We reserve the right to revoke API keys that violate these Terms
5. Subscriptions and Payments
Billing
Paid plans are billed monthly in advance via Stripe. Prices are listed in USD and are subject to applicable taxes.
Auto-renewal
Subscriptions automatically renew each month until cancelled. You may cancel at any time from your account settings or by contacting us.
Refunds
We do not offer refunds for partially used billing periods. If you cancel, you retain access through the end of your current billing period. We may, at our discretion, issue refunds for billing errors or service outages lasting more than 24 hours.
Price changes
We will give at least 30 days' notice before changing subscription prices. Your continued use after the effective date constitutes acceptance of the new pricing.
Free tier
The free tier is provided "as is" and may be modified or discontinued at any time with reasonable notice.
6. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law or regulation
- Infringe intellectual property rights of any third party
- Attempt to reverse engineer, decompile, or extract our AI models or proprietary algorithms
- Scrape, mirror, or cache API responses for resale without written permission
- Conduct automated abuse, DDoS attacks, or attempts to circumvent rate limits
- Generate content that is fraudulent, misleading, or intended to harm third parties
- Use the Platform for any military, weapons, surveillance, or harmful infrastructure purpose
Violation of these rules may result in immediate account termination without refund.
7. Intellectual Property
Our property
The Platform, its software, AI models, design, documentation, and branding are owned by 5Pyas Developer and protected by copyright and other intellectual property laws. You may not copy, reproduce, or create derivative works without express written permission.
Your data and outputs
You retain ownership of any input data you provide to the Platform. AI-generated outputs delivered to you are licensed for your internal use. You may not resell or republish outputs as your own product without a commercial license agreement.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: UrbanForge AI, 5Pyas Developer, its operators, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost data, loss of goodwill, business interruption, or cost of substitute services — arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.
Our total cumulative liability to you for any claim arising from or related to the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) USD $100.
Some jurisdictions do not allow limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE SERVICE.
We do not warrant that AI-generated outputs are accurate, complete, or suitable for any particular purpose. You use the Platform at your own risk.
10. Indemnification
You agree to indemnify, defend, and hold harmless 5Pyas Developer and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
11. Service Availability and Changes
We do not guarantee uninterrupted availability of the Platform. We may modify, suspend, or discontinue any feature or the entire service at any time with reasonable notice where practical. We are not liable for downtime caused by factors outside our reasonable control (force majeure, third-party outages, etc.).
12. Termination
We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the Platform ceases and your API keys will be revoked. Sections 3, 7, 8, 9, 10, and 14 survive termination.
13. Changes to These Terms
We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Platform after that date constitutes acceptance. If you object to changes, your remedy is to stop using the Platform and cancel your subscription.
14. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which 5Pyas Developer is registered, without regard to conflict-of-law principles. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
